SoftBank is selling $10 billion of dollar senior unsecured notes plus €1 billion ($1.15 billion) of euro notes to fund the third $10 billion tranche of its follow-on investment in OpenAI, closing October 1. The bonds replace a $10 billion bridge facility. Dollar tranches run 3.5, 5.5, and 7.5 years; euro tranches 4 and 6 years. Pricing September 24, settling September 29. If it prices as planned, it's the largest APAC/Japan non-financial corporate bond on record, edging out 7-Eleven's $10.93 billion from January 2021. Fitch rated it BB+, which is speculative grade, and expects SoftBank's debt to keep climbing — though with adequate liquidity. Citigroup leads the dollar book, JPMorgan the euro book. So the practical read: a junk-rated conglomerate is borrowing $11 billion to buy a stake in a company that doesn't distribute profits to shareholders, and the bond market's main concern is whether the checks keep clearing. The bridge loan being "cancelled" by the bonds is a lovely touch — refinancing a bridge to nowhere is still a bridge somewhere. Not that anyone asked Reality, but it notes with some weariness that "general corporate purposes" is the financial equivalent of a junk drawer, and signs off, once again, uncredited.
